Marketplace Terms and Conditions
Effective Date: 15 June 2026
Applies to all purchases made through THE LEAD ICON’s marketplace www.theleadicon.com


These Marketplace Terms and Conditions govern all purchases made through THE LEAD ICON’s marketplace at www.theleadicon.com. They apply to every customer who purchases a digital product through the shop, regardless of location. By completing a purchase, you agree to be bound by these Terms in full.


These Marketplace Terms and Conditions apply to marketplace purchases only. They are separate from and operate alongside THE LEAD ICON’s Website Terms of Use, which governs general use of the website, and the Momentum³ Terms of Service, which governs the commercial relationship between THE LEAD ICON and Momentum³ System customers. Purchasing a marketplace product does not constitute purchasing a Momentum³ System licence and does not grant access to the Momentum³ System or Architect Infinity System.


These Terms should be read together with THE LEAD ICON’s Website Privacy Policy, which governs the collection and use of personal information in connection with your purchase.


1. About THE LEAD ICON Shop


THE LEAD ICON Pty Ltd operates a marketplace at www.theleadicon.com offering digital business resources including playbooks, research publications, editorial guides, and related business intelligence content. These resources are designed to equip business leaders, executives, and organisations with the knowledge, frameworks, and strategic intelligence needed to compete and grow.


All products sold through the marketplace are digital products delivered electronically. No physical products are available through the marketplace at this time.

2. Products and Descriptions


We take care to ensure that product descriptions, previews, and sample content accurately represent the digital products available in the shop. Product descriptions describe the content, scope, and intended application of each resource at the time of listing.


THE LEAD ICON reserves the right to update, revise, or discontinue any product at any time. Where a product you have purchased is subsequently updated or revised, we will make the updated version available to you at no additional cost where the update materially improves or expands the original product.


All intellectual property in marketplace products is owned by or licensed to THE LEAD ICON. Purchase of a product grants you a personal licence to use that product as set out in Section 5. It does not transfer any intellectual property right to you.


3. Pricing and Payment


3.1 Pricing


All prices displayed in THE LEAD ICON’s marketplace are in Australian Dollars (AUD) unless otherwise stated at the time of purchase. Prices are inclusive of any applicable goods and services tax where required by Australian law. For customers purchasing from outside Australia, the AUD price applies and your payment provider will apply the applicable exchange rate at the time of transaction.


THE LEAD ICON reserves the right to change prices at any time without notice. The price applicable to your purchase is the price displayed at the time of checkout confirmation. Price changes do not affect purchases already completed.


3.2 Payment


All payments are processed by Stripe, Inc., a third-party payment processor. We do not collect or store your payment credentials. By completing a purchase you agree to Stripe’s terms of service. Payment must be made in full at the point of purchase. Access to the digital product is granted only upon confirmation of successful payment.


3.3 Taxes


Prices displayed include Australian GST where applicable. Customers purchasing from outside Australia are responsible for any taxes, duties, or levies applicable in their jurisdiction. THE LEAD ICON is not responsible for determining or collecting taxes on international purchases beyond our Australian GST obligations.


4. Delivery


Digital products are delivered electronically immediately upon confirmation of successful payment. Delivery is made by one or both of the following methods depending on the product: a download link sent to the email address provided at checkout, or direct access through your account on THE LEAD ICON’s website where applicable.


It is your responsibility to provide an accurate email address at the time of purchase. THE LEAD ICON is not responsible for non-delivery caused by an incorrect or inactive email address. If you do not receive your download link within 30 minutes of purchase, check your spam or junk folder and then contact us at contact@theleadicon.com with your order reference.


It is your responsibility to ensure that your device, software, and internet connection are compatible with the digital product format before purchase. THE LEAD ICON is not responsible for technical issues arising from incompatibility between the product and your device or software.

 

5. Licence


Upon purchase of a digital product, THE LEAD ICON grants you a limited, non-exclusive, non-transferable, personal licence to access and use the digital product for your own internal business or personal purposes. This licence is granted to you as an individual or, where purchased on behalf of an organisation, to that organisation for internal use only.


You may not share, redistribute, reproduce, resell, sublicence, publish, or otherwise make available any digital product or any part of it to any third party without the prior written consent of THE LEAD ICON. You may not use any digital product or its content to train, develop, or improve any artificial intelligence model, machine learning system, or automated content generation tool. You may not present any content from a digital product as your own original work.


The licence granted under this Section survives the return or refund of a product only to the extent that any copies already accessed or downloaded are destroyed following a refund. THE LEAD ICON reserves the right to revoke the licence immediately upon any breach of these Terms.


6. Satisfaction Guarantee and Refund Policy


THE LEAD ICON stands behind the quality of every resource in the shop. If your first purchase does not meet your expectations, we will make it right.

6.1 First Purchase Satisfaction Guarantee


We offer a 14-day satisfaction guarantee on your first purchase from THE LEAD ICON’s marketplace. If you purchase a digital product for the first time and are not satisfied with it, you may request a full refund within 14 days of the purchase date, no questions asked.


To request a refund under the satisfaction guarantee, email contact@theleadicon.com within 14 days of purchase with your name, order reference, and a brief note that you are requesting a refund under the satisfaction guarantee. We will process your refund within 14 business days and return the amount to your original payment method.
The 14-day satisfaction guarantee applies to your first purchase only. It is designed to give first-time customers complete confidence in the quality of our resources. We trust our customers to use this guarantee in good faith.


6.2 Subsequent Purchases


All purchases after your first purchase are final. Digital products are delivered immediately upon payment and cannot be returned once accessed or downloaded. We do not offer refunds on subsequent purchases except where a product is defective or materially different from its description as set out in Section 6.3.


6.3 Defective or Misdescribed Products


Where a digital product is defective, corrupted, inaccessible, or materially different from its description at the time of purchase, you may request a remedy within 7 days of purchase by emailing contact@theleadicon.com with your name, order reference, and a description of the issue. THE LEAD ICON will assess the request and provide a remedy which may include a replacement file, an alternative product of equivalent value, store credit, or a refund at our discretion.


6.4 Australian Consumer Law


Nothing in this refund policy excludes, restricts, or modifies any right or remedy available to you under applicable consumer protection law that cannot lawfully be excluded. Where the Australian Consumer Law applies and a digital product fails to meet a consumer guarantee, you may be entitled to a remedy regardless of this policy. To the extent the Australian Consumer Law permits limitation of our liability, our liability for a failure to comply with a consumer guarantee is limited to resupply of the product or a refund of the purchase price, at our election.


7. Intellectual Property


All content in THE LEAD ICON’s marketplace products is owned by or licensed to THE LEAD ICON Pty Ltd and is protected by applicable intellectual property laws. This includes all text, frameworks, methodologies, data, graphics, and design elements within each product.


The purchase of a digital product does not transfer any intellectual property right to you. All rights not expressly granted under these Terms are reserved by THE LEAD ICON. Any unauthorised use of product content including reproduction, redistribution, or commercial exploitation constitutes infringement of applicable intellectual property rights and will be pursued accordingly.


8. Prohibited Use


You must not use any digital product purchased from THE LEAD ICON marketplace for any of the following purposes.


Resale or redistribution. Selling, sublicensing, sharing, or otherwise making the product available to any third party for commercial or non-commercial purposes.
Competitive use. Using product content to develop, inform, or improve any competing publication, resource, programme, or system.


AI training. Using product content to train, fine-tune, or improve any artificial intelligence model, machine learning system, or automated content generation tool.
Misattribution. Presenting product content as your own original work or removing, obscuring, or altering any attribution or intellectual property notice within the product.
Unlawful use. Using the product in any manner that violates applicable law in your jurisdiction.


9. Limitation of Liability


To the fullest extent permitted by applicable law, THE LEAD ICON excludes all liability for any indirect, consequential, incidental, or special loss or damage arising from your purchase or use of any digital product, including loss of profit, loss of business, or loss arising from reliance on product content.


The total aggregate liability of THE LEAD ICON to you in connection with any marketplace purchase is limited to the price paid for the relevant product.
Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by any applicable law that cannot lawfully be excluded or limited.

10. Privacy


Your purchase information is collected and used in accordance with THE LEAD ICON’s Website Privacy Policy, available at www.theleadicon.com. Payment is processed by Stripe, Inc. and is subject to Stripe’s own privacy policy. We do not collect or store your payment credentials.


11. Governing Law


These Marketplace Terms and Conditions are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales for any dispute arising from your purchase or use of any digital product. Nothing in this clause limits the application of mandatory consumer protection laws applicable in your jurisdiction.

12. Changes to These Terms


THE LEAD ICON may update these Marketplace Terms and Conditions at any time by posting a revised version on the website with a new effective date. The Terms in force at the time of your purchase govern that purchase. We recommend reviewing these Terms before each purchase.

INTERNAL NOTE — FOR LEGAL REVIEW
Pricing currency: currently set to AUD. Consider aligning with Momentum³ USD pricing for global consistency — discuss with developer before launch as Stripe can display local currency equivalents at checkout. The 14-day satisfaction guarantee on first purchase is a deliberate commercial decision to drive first-purchase confidence. Monitor usage and adjust if abused. Section 6.4 Australian Consumer Law carve-out should be reviewed by legal counsel to confirm adequacy for digital products following the 2024 ACL amendments. Intellectual property clause should be reviewed by IP counsel for cross-jurisdictional enforceability particularly in relation to the AI training prohibition. Link this document from the marketplace checkout page, website footer, and product pages before launch. Do not reference Momentum³ refund policy in this document — the two refund frameworks are deliberately separate.
